Terms of Service

IMPORTANT NOTICE: Please read these Terms of Service carefully before using any Atom Foundry service, product, website, API, or tool. By accessing or using any part of the Atom Foundry platform, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to any part of these Terms, you must immediately cease all use of our services.

Section 01

Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Atom Foundry ("Company", "we", "us", "our"), governing your access to and use of the Atom Foundry platform, website located at atomfoundry.dev, all associated subdomains, APIs, tools, reports, data, and services (collectively, the "Service").

By accessing the Service in any way — including but not limited to visiting the website, submitting a store URL, receiving a report, accessing the API, reading research data, or interacting with any component of the platform — you agree to be bound by these Terms.

If you are using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and the term "you" shall refer to both you individually and that entity.

These Terms apply globally. Your use of the Service from any jurisdiction constitutes your acceptance of these Terms regardless of local laws that may differ.

Section 02

Service Description

Atom Foundry operates the AI Commerce Graph™ — an automated intelligence platform that analyzes publicly accessible ecommerce stores to assess their readiness for AI-powered recommendation systems, shopping agents, and large language model (LLM) discovery.

Our services include, but are not limited to:

  • Automated scanning and analysis of publicly accessible ecommerce websites
  • AI Commerce Score™ generation across multiple readiness factors
  • Research reports and benchmark data based on aggregated scan results
  • Store database and public index at atomfoundry.dev/stores
  • Paid AI Commerce Audit reports with detailed recommendations
  • API access for programmatic data retrieval

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice or liability.

Section 03

Automated Data Collection & Web Crawling

Public Data Only. Atom Foundry exclusively collects and analyzes publicly accessible data. We do not attempt to access password-protected areas, private databases, authenticated content, or any data that is not freely available to the general public and standard web crawlers.

Legitimate Purpose. Our crawling activity serves a legitimate commercial and research purpose: assessing the AI readiness and machine-readability of publicly available ecommerce content. This activity is analogous to and consistent with the operations of major search engines, AI training systems, and commercial data analytics platforms.

Respect for Technical Signals. Our crawler respects standard technical signals including robots.txt directives where technically feasible. We record and report on crawler accessibility as part of our AI readiness assessment — stores that block crawlers receive lower AI visibility scores, which is itself an accurate and valuable data point reflecting their real-world AI discoverability.

No Circumvention of Security. We do not circumvent CAPTCHA systems, authentication barriers, encryption, or any security measure designed to prevent unauthorized access. We do not access computer systems in any manner that would violate applicable computer fraud or unauthorized access laws.

Compliance with Applicable Law. Our data collection practices are designed to comply with the Computer Fraud and Abuse Act (CFAA, USA), the EU Directive on Copyright in the Digital Single Market, GDPR Article 6 legitimate interests basis, and equivalent legislation in other jurisdictions. We rely on the established legal principle, affirmed in hiQ Labs v. LinkedIn (9th Circuit, 2022) and similar precedents, that automated access to publicly available data does not constitute unauthorized access under applicable computer access laws.

No Personal Data Targeting. We do not target, collect, or process personal data of individual consumers. Our analysis focuses exclusively on publicly available commercial content of ecommerce businesses.

Store Owner Rights. If you are the owner or authorized representative of an ecommerce store and wish to have your store removed from our public index, you may submit a removal request to support@atomfoundry.dev. We will process legitimate removal requests within 30 days. Note that removal from our index does not affect your store's visibility to third-party AI systems, search engines, or other crawlers.

AI-Generated Content Disclaimer

ALL SCORES, ANALYSES, REPORTS, AND RECOMMENDATIONS ARE GENERATED BY AUTOMATED ARTIFICIAL INTELLIGENCE SYSTEMS AND ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY.

The AI Commerce Score™, readiness classifications, factor breakdowns, revenue impact estimates, competitive analyses, and all other outputs of the Atom Foundry platform are generated through automated processes involving large language models, machine learning algorithms, and heuristic analysis systems. These outputs:

  • Do not constitute legal, financial, investment, tax, or professional advice of any kind
  • May contain errors, inaccuracies, or outdated information
  • Reflect a point-in-time snapshot and may not represent current conditions
  • Are based on publicly available data which may itself be incomplete or inaccurate
  • Should not be relied upon as the sole basis for any business decision
  • Do not predict or guarantee future performance, revenue, or outcomes
  • Do not represent the views or assessments of any third-party AI platform including OpenAI, Anthropic, Apple, Google, or Amazon
  • Are not endorsed by or affiliated with Shopify, WooCommerce, or any ecommerce platform

Revenue impact estimates ("estimated loss", "potential revenue gap") are illustrative projections based on statistical modeling across our dataset. They do not represent actual losses incurred, guarantees of recoverable revenue, or legally binding assessments. Individual results will vary significantly.

You acknowledge that AI systems can produce incorrect, biased, or misleading outputs, and you assume full responsibility for evaluating and verifying any information provided by the Service before acting upon it.

Section 05

No Guarantee of Results

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

Atom Foundry makes no representations or warranties of any kind regarding:

  • The accuracy, completeness, reliability, or timeliness of any data, score, or analysis
  • The fitness of any recommendation for a particular purpose
  • The results that may be obtained from implementing any suggestion or fix
  • The uninterrupted or error-free operation of the Service
  • The security or confidentiality of information transmitted through the Service
  • The compatibility of the Service with your systems or requirements

To the fullest extent permitted by applicable law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, non-infringement, and title.

Section 06

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ATOM FOUNDRY, ITS DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, punitive, or exemplary damages
  • Loss of profits, revenue, data, goodwill, business opportunities, or anticipated savings
  • Business interruption or loss of business
  • Damages resulting from reliance on any information provided by the Service
  • Damages resulting from implementing recommendations from our reports
  • Damages from unauthorized access to or alteration of your data
  • Damages from the conduct of any third party in connection with the Service

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED EUROS (EUR 100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law. Nothing in these Terms shall limit our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

Section 07

Indemnification

You agree to defend, indemnify, and hold harmless Atom Foundry and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Service in any manner not expressly authorized by these Terms
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Your violation of any applicable law or regulation
  • Any content or data you submit to the Service
  • Any claim that your use of the Service caused damage to a third party

Intellectual Property

Our Intellectual Property. The Atom Foundry platform, AI Commerce Graph™, AI Commerce Score™, all proprietary terms, methodologies, scoring models, software, designs, trademarks, and content are the exclusive intellectual property of Atom Foundry and are protected by copyright, trademark, trade secret, and other applicable laws worldwide.

Limited License. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes in accordance with these Terms. This license does not include any right to:

  • Reproduce, distribute, or publicly display our content or data
  • Create derivative works based on our platform, methodology, or scoring system
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use our trademarks, logos, or branded terms without prior written consent
  • Resell, sublicense, or commercially exploit any portion of the Service or its outputs
  • Scrape, crawl, or systematically extract data from the Service
  • Use our data to train, fine-tune, or improve competing AI or analytics systems

Your Content. You retain ownership of any content, store URLs, or data you submit. By submitting content, you grant us a worldwide, royalty-free license to use, process, and analyze that content for the purpose of providing the Service and improving our platform, including for AI model training purposes.

Section 09

Payments & Refunds

Free Services. The free AI Commerce Score and basic store analysis are provided at no charge and may be modified, limited, or discontinued at any time without notice.

Paid Services. Paid audits, reports, subscriptions, and API access are subject to the pricing displayed at the time of purchase. All prices are exclusive of applicable taxes unless stated otherwise.

Payment Processing. Payments are processed by third-party payment processors. We do not store your payment card information. By making a payment, you also agree to the terms of the applicable payment processor.

Refund Policy. All payments are final and non-refundable except where required by applicable consumer protection law or at our sole discretion. If you believe you are entitled to a refund, contact us at support@atomfoundry.dev within 14 days of purchase with a detailed explanation.

Taxes. You are responsible for all taxes, duties, and government charges applicable to your purchase in your jurisdiction.

Section 10

Prohibited Use

You agree not to use the Service to:

  • Violate any applicable local, national, or international law or regulation
  • Engage in any fraudulent, deceptive, or misleading activity
  • Transmit any malware, viruses, or malicious code
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Interfere with or disrupt the integrity or performance of the Service
  • Collect or harvest any data from the Service using automated means without our express written consent
  • Use the Service in connection with any illegal business practice
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Use the Service to defame, harass, or harm any individual or business
  • Publish, share, or commercially exploit our reports, scores, or data without authorization
  • Use outputs from the Service to make claims against any third party without independent verification
  • Circumvent any rate limiting, access controls, or security measures
Section 11

Termination

We reserve the right to suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason including if you breach these Terms.

Upon termination, your right to use the Service ceases immediately. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

We may also discontinue the Service entirely at any time without liability to you.

Section 12

Governing Law & Dispute Resolution

Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Czech Republic and applicable European Union law, without regard to conflict of law principles.

Jurisdiction. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of the Czech Republic, unless mandatory consumer protection laws in your jurisdiction require otherwise.

EU Consumer Rights. If you are a consumer resident in the European Union, you may benefit from mandatory provisions of the consumer protection law of your country of residence. Nothing in these Terms affects your rights as an EU consumer that cannot be waived by contract.

Informal Resolution. Before initiating any formal legal proceedings, you agree to attempt to resolve disputes informally by contacting us at support@atomfoundry.dev. We will attempt to resolve disputes within 30 days.

Class Action Waiver. To the fullest extent permitted by applicable law, you waive any right to participate in a class action lawsuit or class-wide arbitration against Atom Foundry.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Section 13

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by updating the "Last updated" date at the top of this page. For registered users, we may also provide notice by email.

Your continued use of the Service after any changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.

We recommend reviewing these Terms periodically. The most current version will always be available at atomfoundry.dev/terms-of-service.
